Terms of Service

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our site or services.

Zype Software provides software development, cloud engineering, digital marketing, and IT consulting services. Specific deliverables, timelines, and pricing are defined in individual statements of work (SOWs) or service agreements.

Website content is for informational purposes only and does not constitute a binding offer.

When engaging our services, you agree to:

• Provide accurate project requirements and timely feedback
• Grant necessary access to systems, data, and stakeholders
• Make payments per the agreed schedule
• Ensure you have the legal right to any content, data, or IP you provide us

Payment terms are specified in each project SOW. Unless otherwise agreed:

• 50% of project fees are due upon engagement start
• Remaining balance is invoiced upon milestone completion
• Invoices are due within 14 days of issue
• Late payments may incur a 1.5% monthly service fee

Refunds are granted only for undelivered work. Completed milestones are non-refundable.

Client-owned deliverables: Upon full payment, all custom software, code, designs, and documentation we create specifically for you become your property.

Zype-owned materials: Pre-existing tools, frameworks, and methodologies we use remain our property. We grant you a perpetual, non-exclusive license to use any embedded components in your deliverables.

Website content: All content on zype.dev, including text, graphics, logos, and code, is owned by or licensed to Zype Software and protected by copyright law.

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law. We are happy to sign NDAs upon request — contact us at info@zype.dev.

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

EXCEPT AS EXPRESSLY STATED, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, Zype Software's total liability for any claim arising from these Terms or our services is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

Either party may terminate an engagement with 30 days' written notice. Upon termination, you agree to pay for all work completed through the termination date. Sections on IP, confidentiality, and liability survive termination.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of Lagos State, Nigeria.

We may update these Terms from time to time. Continued use of our site or services after changes constitutes acceptance.
